The meetings of the llc will be valid only if it is a proper quorum. Quorum refers to the minimum number of members that are required to be present during the proceedings of the meeting. If the quorum is not present within half an hour the meetings can be amended. The date of the adjourned meeting as well as the place and the time of the meeting should be fixed before adjournment. The things discussed during the meeting hour should be properly recorded. This record should be kept in the minutes book. Minutes book should be properly filled and signed by the chairman according to the statutory provisions. The llc is formed with great effort. There are four main steps to form an llc. The first stage is promotion in which individuals interested promote their idea and get registered with the registrar. Then they issue the prospectus under companies name and invite public for investment. Later they allot shares to the members and make them share holders. Afterwards all the documents like memorandum of association and articles of association including the prospectus have to be registered with the registrar of companies
