Llc Formation: Formation Is The Thing That Makes Difference
There are various types of limited companies in the corporate world. One of them is Limited Liability Company. Limited liability company is the company in which large number of people come together to conduct business unanimously. They invest their capital at their own risk. The members get shares in return of the capital invested. They also enjoy dividends from the profits earned by the conduct of the business. The members that are the owners of the company are the shareholders. It is called Limited Liability Company as the liability of the shareholders is limited to the extent of unpaid amount of shares. The llc formation is done by the promoters of the company.
The llc formation is done in different stages. The llc formation includes four major stages namely the promotion stage, the incorporation stage, the subscription of capital stage and the last stage is the stage of commencement of business. The company will come into existence only after the initials of llc formation are taken. The person who takes lead to form it is better known as promoter. Such a person will take help of other people. These people are together also called as promoters. Promotion may take place for initiating a business that is for publicity to expand and diversify the existing business. First step in llc formation is discovery of idea. When the promoter understands the possibility of starting or expanding a new business it is said that an idea has been discovered.
Then further investigation is done with respect to the type of business its scope. They have to do the market researches study the demand supply pattern etc.The next stage is the most crucial stage as it deals with all the necessary documents of the company. This stage is the birth of the company. The promoters give name to the company just as a child is given after the birth. The promoters must get the name approved and sanctioned by the board of directors and all other members involved with it. The name should be registered immediately. And the work now should be done in the name of the company.
For getting the company incorporated the following documents have to be prepared that is the memorandum of association, articles of association, list of the board of directors with name and address as well as occupation done. The company has to also register the office of the company from where the workings will be conducted. This should declare the qualification shares mentioned in the articles. The next stage is capital subscription in which after the statutory meeting the capital is issued for subscription. The issue the prospectus with the details filled in it. After this the applications are made and the shares are allotted. The shareholders name also has to be registered with the registrar. In the last stage the company receives the certificate of commencement of business. Now the company can do its business without any interference.
