Llc Name Availability - A Great Liability Protection
A limited liability company is extremely useful and easy to operate for the owners who intent to have minimum liability for their business and wanting to avoid business debts.
Now when a limited liability company is formed a suitable name is required for the company so llc name availability has to be checked or looked for.
The name of the company should be such that the name should not be in use currently with any other business company. So a proper llc name availability check is made.
When starting a limited liability company it is suggested that you use foreign name or modify the current name or change the name of existing company if the company already exists. When not required it is advisable to reserve the proposed name with the Secretary of States office because the documents and papers are constantly checked and processed and the llc name availability can be changed anytime. Fictitious business name are not filed in some States' Secretary office like as in California etc. Fictitious business names are filed and registered in the county where principal business place is located. Even after llc name availability has been checked or reserved one should not shop for accessories or stationery or any such business stuff until a notification is received by you from the Secretary of States office because the limited liability company is not formed unless and until all the documents and papers are submitted and registered with the Secretary of States office. Sending a mail to Secretary of States office can also make a preliminary check of llc name availability. A Name Available Inquiry Letter is then received by the owner, which can be viewed, and then the name can be decided. However at this time no mail or online inquiries will be accepted. Just checking llc name availability does not confer the rights to use the name nor can one be sure of the name as it can still be exposed to change as just llc name availability check does not have a binding effect on the Secretary of States. A prepaid account can be opened with the Secretary of States for payment purposes. A name reservation can be made for a duration of 60 days and can be renewed but not for successive periods or for the benefit of the company. Llc name availability is checked against by the Secretary of States against the reserved existing name of a company or an active limited liability company. However the names are not checked against a fictitious company, general partnership or limited liability partnership, which are recorded and filed at county level. The filing of documents and papers and reserving the name of the company for llc name availability does not mean that the company name can be used against law or by violation of laws like Common law rights, Fictitious Business Name Act.
